1. Introduction

Welcome to PROX (“PROX,” “we,” “us,” or “our”), which provides a freemium social and mobile chat platform via the PROX application (the “App”). The App is owned and operated by Stratis AI, Inc., doing business as Stratis, (the “Company,” “we,” “our,” or “us”) for all users of the App (“you” or “User(s)”) at no cost. Your privacy is critically important to us, so we have created this Privacy Policy (the “Policy”) to explain how we collect, use, and disclose your personal information and what rights and choices you have with respect to your personal information. Personal Information is personally identifiable information such as your name, telephone number, home address, email address, geolocation, IP address, user ID, device ID, linked contacts and emails, Gmail Connect sign-in information, and any other non-public information about you that is associated with or linked to any of the information, excluding aggregate information, listed in this Policy. By using our App, you agree and understand that we are providing a platform for you to post content, including photos, comments, messages, and other materials (collectively, the “User Content”), to the App and to share User Content publicly and privately. This means that other Users may search for or see any of your User Content that you make publicly available through the App, consistent with the terms of this Policy and our Terms and Conditions.

PLEASE READ THIS POLICY CAREFULLY AS IT WILL HELP YOU MAKE INFORMED DECISIONS ABOUT SHARING YOUR PERSONAL INFORMATION WITH US.

2. Information We Collect and Receive

We collect the following types of information:

Registration and Profile Information: When you create an account, we may collect your Personal Information, such as your username, first and last name, birth date, email address, mobile phone number, and a photo (if you chose to have a photo associated with your account). When you register in our App with other applications, such as Google, the data we receive is dependent upon your privacy settings with the application.

Geolocation: We collect your location through GPS in order to obtain your location for the purposes of providing our App. If you turn off location sharing, we will be unable to provide the App.

User Content: We collect information when you provide User Content through the use of the App. We may also retain any messages you send to us.

Device Information: We collect information about the devices you use to access the App, including type of device, what operating system is used, device settings, application IDs, unique device identifiers, and crash data. The amount of device information we collect depends on the type of device used and its settings.

Aggregated InformationWe may collect aggregate and/or anonymous information that does not identify particular Users. We may share such information to help us determine how parts of our App are used or to improve our App.

Log Data: Whenever you use our App, in a case of an error in the App, we collect data and information (through third-party products) on your phone called Log Data. This Log Data may include information such as your device Internet Protocol (“IP”) address, device name, operating system version, the configuration of the App when utilizing our App, the time and date of your use of the App, and other statistics.

Cookies: Cookies are files with a small amount of data that are commonly used as anonymous unique identifiers. These are sent to your browser from the websites that you visit and are stored on your device’s internal memory. This App does not use these “cookies” explicitly. However, the App may use third party code and libraries that use “cookies” to collect information and improve their services. You have the option to either accept or refuse these cookies and know when a cookie is being sent to your device. If you choose to refuse our cookies, you may not be able to use some portions of this App.

Metadata: When you interact with the App, Metadata is generated that provides additional context about the way you use the App. For example, we log the User Content, people, features, the types of User Content shared, and what third-party services are used, if any.

3. How We Use Your Information

We use collect, store, use, and disclose your information to enable us to: (a) provide our services on the App; (b) create your account; (c) identify you as a User; (d) improve, test, and monitor the effectiveness of our App; (e) monitor metrics, such as total number of visitors, traffic, and demographic patterns; (f) automatically update the App on your device; (g) remember information so you will not have to re-enter it during your use of App or next time you visit our App; (h) provide personalized content and information to you, which can include advertisements and other types of marketing; and (i) send you administrative and service-related communication. 

4. How We Share And Disclose Your Information

We will not rent, lease, or sell your information to third parties outside of PROX. However, we may share your information in certain circumstances, including: (a) We may share your personal information with third-party companies who perform services on our behalf or who help us provide services to the App, such as accounting, managerial, technical, storage, or analytic services. The third-party companies perform the services on our behalf, and they are obligated not to use or disclose your information for any purpose other than that which we have assigned to them. (b) Any information or content that you voluntarily post publicly to the App or to our social media pages will automatically be available to the public. We may publicly post your reviews and comments online on our App or link your reviews to third-party websites. (c) We may aggregate or otherwise strip data of all personally identifying characteristics from our data and may share that anonymized and/or aggregated data with third parties. For example, we may share de-identified location data with third parties that analyze location and movement trends. (d) We may, at any time, buy or sell/divest the Company, or any combination of its products, services, assets and/or businesses. Personal Information such as customer names and email addresses, and other User information related to the App will likely be one of the items transferred in these types of transactions. We may also share, transfer, or assign such information in the course of corporate divestitures, mergers, acquisitions, bankruptcies, dissolutions or similar transactions or proceedings. (e) We will share information that is required by law or subpoena or if in our sole discretion, we determine it is necessary to conform to the law, comply with legal process, or investigate, prevent, or take action regarding suspected or actual illegal activities; to enforce our Terms and Conditions, take precautions against liability, to investigate and defend ourselves against any claims or allegations, or to protect the security or integrity of our App; and/or to exercise or protect the rights, property, or personal safety of PROX, our Users, or others.

5. What Are Your Rights And Choices

We want to provide you with as many rights and choices as possible to use the App.You may, of course, decline to submit any Personal Information through the App, in which case we may not provide our App to you.

Modifying Your Account: You may modify your account information, update or amend your Personal Information, or change your password at any time by logging into your account. If you have any questions about reviewing or modifying your account information, you can contact us at support@stratis.ai.

Account Deletion and App Uninstallation: You can delete your account or uninstall the App at any time. Simply removing PROX from your mobile device will neither delete your Personal Information that we have retained nor will it remove or automatically delete your account or User Content. Additionally, when you delete your account, we will retain your Personal Information in accordance with Section 6 of this Policy

Direct Message Options: Receipt of direct messages is limited to your personal preference. You may allow anyone to send you a direct message, limit your direct messages to specific people, such as your friends, or block specific people to prevent those people from messaging you.

Incognito Mode: You may post User Content publicly using the Incognito toggle. When you enable Incognito Mode, your Personal Information, such as your username and account photo, will be concealed from the public. Please note that anyUser Content posted to the App while utilizing Incognito Mode is still subject to this Policy and our Terms and Conditions.

Teleport Mode: You may “teleport” yourself to other locations when you are not physically there. User Content that you post in places where you teleported will be made publicly. We will retain your teleported messages in accordance with Section 6 of this Policy.

Save Locations: You may save locations that you have visited or “teleported” yourself to Save locations will be deleted when you delete your account or uninstall the App.

6. How We Retain Your Information

We generally retain your Personal Information to pursue legitimate business interests, conduct audits, comply with legal obligations, resolve disputes, and enforce this Policy and our  Terms and Conditions. To dispose of Personal Information, we may anonymize it, delete it, or take other appropriate steps.

Additionally, when you delete your account, your personal identifiable information and direct messages will be deleted, unless it is kept for a purpose identified within. However, certain Personal Information that you make public on our App will remain available on our App unless you manually delete such information before deleting your account.

7. How We Keep Your Information Secure

We value your trust in providing your Personal Information to us; thus, we are striving to use commercially acceptable means of protecting it. But remember that no method of transmission over the internet, or method of electronic storage is 100% secure and reliable, and we cannot guarantee its absolute security.

8. Where Your Information Is Processed And Transferred

PROX is based in the United States. No matter where you are located, you consent to the processing and transferring of your Personal Information in and to the United States and other countries. Please note that the laws of the United States. and other countries governing data collection and use may not be as comprehensive or protective as the laws of the country where you live.

9. Links To Other Websites And Services

We are not responsible for the practices employed by websites or services linked to or from the App, nor the information or content contained therein. When you use a link to go from the App to another website or application, our Privacy Policy does not apply to third-party websites, applications, or services. Your browsing and interaction on any third-party website, application, or service, including those that have a link on our App, are subject to that third party’s own rules and policies. Please read over those rules and policies before proceeding.

10. Children’s Online Privacy Protection Act (COPPA)

THE APP DOES NOT ADDRESS ANYONE UNDER THE AGE OF 13. We do not knowingly collect personally identifiable information from children under 13. In the case we discover that a child under 13 has provided us with personal information, we immediately delete this from our servers. If you are a parent or guardian and you are aware that your child has provided us with personal information, please contact us so that we will be able to do the necessary actions.

11. Privacy Rights For Minors

All users who are minors in a jurisdiction in which they reside (generally under the age of 16 or 18) MUST have the permission of, and be directly supervised by, their parents or legal guardian to use the App. If you are a minor, you MUST have your parent or legal guardian read and agree to this Policy prior to you using the App. We do not knowingly collect Personal Information from children who are considered a minor in the jurisdiction in which he/she resides is using the App or has disclosed Personal Information to us. Users under the age of 18 may remove the content or information they have contributed if and when they desire. If we learn that we are engaged in processing with such Users, we will halt such processing and will take reasonable measures to promptly remove applicable information from our records.

12. California Residents’ Rights

We collect various types of personal information about you both online and offline, as described in this Policy. Under California law, PROX Users who are residents of California may request certain information about our disclosure of Personal Information during the prior calendar year. To make such a request, please contact us at legal@stratis.ai.

13. Changes To This Policy

We reserve the right, in our sole discretion, to make changes or modifications to this Policy at any time and for any reason. We will provide notice to Users about any changes or modifications by updating the “Last modified” date located at the top of this Policy, and you waive any right to receive specific notice of each change or modification. It’s your responsibility to periodically review this Policy to stay informed of updates. You will be subject to, and will be deemed to have been given notice, made aware of, and to have accepted the changes in any revised Policy by your continued use of the App after the date such revised Policy has been posted in this Policy.
